Acceptance
By using sapctl you agree to these terms. If you are using sapctl on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” means that organisation.
Open-source software
The sapctl command-line tool, libraries, and documentation are licensed under the Apache License 2.0 as set out in LICENSE in the source repository. Nothing in these terms restricts your rights under that licence.
Cloud services
The Team, Business, and Enterprise tiers are subscription services provided by sapctl Labs Ltd. They include access to the managed Trust Portal, hosted audit-log mirroring, and SLA-backed support. Service-level commitments and credit remedies are set out in the SLA.
Your account
You are responsible for the security of your credentials, MFA devices, and API tokens. You must notify us within 24 hours of any suspected unauthorised access at security@sapctl.dev.
Fees & payment
Paid plans are billed monthly or annually in advance in USD. All fees are exclusive of taxes; you are responsible for applicable VAT, GST, or sales tax. Late payments accrue interest at 4% above the Bank of England base rate. Subscriptions auto-renew unless cancelled at least 14 days before the end of the term.
Acceptable use
You agree to use sapctl only as permitted by law and by the Acceptable Use Policy, which is incorporated by reference. Material breach is grounds for immediate suspension.
Customer data
You retain all rights in Customer Data. You grant us a limited licence to process Customer Data solely to provide the services, as further described in the Data Processing Addendum. We will not access Customer Data except (a) to provide and support the services, (b) to address a security incident, or (c) where required by law.
Intellectual property
Subject to your compliance with these terms, we grant you a non-exclusive, non-transferable right to use the cloud services during your subscription. All rights not expressly granted are reserved. Feedback you submit may be used by us without restriction.
Trademark policy
“sapctl” and the sapctl logo are unregistered trademarks of sapctl Labs Ltd. You may use them in factual references to the project (e.g. “runs on sapctl”) but not in a way that suggests endorsement or affiliation. “SAP”, “S/4HANA”, “BTP”, “Joule”, and other SAP product names are trademarks of SAP SE; sapctl is independent from and not endorsed by SAP SE.
Warranties & disclaimers
Except as expressly stated in a signed order form, the services are provided “AS IS”. To the maximum extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Indemnification
You will defend, indemnify and hold us harmless against claims arising from (a) your violation of these terms or applicable law, (b) Customer Data, or (c) your use of the services in combination with services or software not provided by us. We will defend you against third-party claims that the services as provided infringe a valid copyright, trade-secret, or US/EU patent, subject to the conditions and remedies in our Enterprise master agreement.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, or data. Each party’s aggregate liability arising out of or relating to these terms will not exceed the amounts paid by you to us in the 12 months preceding the event giving rise to liability. Nothing in these terms excludes liability that cannot be excluded under applicable law (e.g. fraud, death or personal injury caused by negligence, gross negligence, or wilful misconduct).
Suspension & termination
Either party may terminate for material breach with 30 days’ written notice if the breach is not cured. We may suspend services immediately for breach of the AUP, non-payment over 30 days, or to address a serious security risk. On termination you may export Customer Data for 30 days, after which it is permanently deleted within 90 days unless retention is required by law.
Governing law
These terms are governed by the laws of England and Wales. The courts of London have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect intellectual property or confidential information. The UN Convention on Contracts for the International Sale of Goods does not apply.
Changes
We may update these terms from time to time. Material changes are effective 30 days after notice to your account email; continued use after that date constitutes acceptance.
